By engaging our services or accessing the website of Logical Design, you agree to these Terms and Conditions. These apply exclusively to our activity as a software factory and digital development studio. Logical Design's own digital products have separate terms available on their respective platforms.

Definitions

Logical Design

A software development studio based in Lima, Peru, providing custom software manufacturing and digital product development services.

Client

Any individual or legal entity that engages Logical Design for development, consulting, or design services.

Services

Custom software development, UI/UX design, technical consulting, system architecture, and any digital deliverable agreed upon in a contract or proposal.

Deliverable

Any software artifact, design, documentation, or source code produced by Logical Design within the scope of a project.

Engagement & proposals

  • Every project begins with a written proposal detailing scope, timelines, technologies, and budget. The contractual relationship is formalized once the Client accepts the proposal in writing or electronically.
  • Proposals are valid for 15 calendar days from the date of issue. After that period, prices and conditions are subject to revision.
  • Any scope changes during development must be agreed upon in writing via an addendum or a new estimate. Undocumented changes do not create an obligation to deliver.
  • Logical Design reserves the right to decline projects it considers incompatible with its values, technical capacity, or availability.

Payments & billing

  • Payments are structured around milestones agreed upon in the proposal. The standard schedule is 50% upfront and 50% upon final delivery, unless otherwise specified.
  • Payments are due within 5 business days of each milestone. Late payment entitles Logical Design to pause development without incurring liability.
  • All prices are expressed in US dollars (USD) or Peruvian soles (PEN) as indicated in the proposal, and include applicable taxes where required.
  • No refunds are issued once development has begun, except in cases of documented failure attributable solely to Logical Design.

Intellectual property

Project code

Upon full payment, the Client receives ownership of the source code produced specifically for their project.

Internal IP

Logical Design's internal tools, frameworks, proprietary libraries, and methodologies remain the exclusive property of Logical Design at all times.

Logical Design may reference the project in its portfolio and marketing materials unless the Client explicitly requests otherwise through a confidentiality clause.

Confidentiality

  • Both parties agree to keep confidential all technical, commercial, or strategic information exchanged during the project.
  • This obligation extends for 2 years after the project concludes, unless a separate NDA specifies different terms.
  • The Client is responsible for not sharing credentials, repositories, or deliverables with unauthorized third parties.

Warranties & limitation of liability

  • Logical Design warrants that deliverables will function in accordance with the specifications agreed upon in the proposal. A 30-calendar-day bug-fix period is offered after final delivery at no additional cost.
  • This warranty does not cover modifications made by the Client or third parties, or failures caused by external infrastructure (hosting, third-party services, APIs).
  • Logical Design's total liability for any claim shall not exceed the total amount paid by the Client for the project in question.
  • Logical Design shall not be liable for indirect damages, loss of business, data loss, or lost profits arising from the use or inability to use the delivered software.

Cancellation & termination

  • Either party may terminate the agreement with 10 business days' written notice if the other party materially breaches its obligations and fails to remedy the breach within that period.
  • If the Client cancels the project after work has begun, they must pay for work completed up to the cancellation date, calculated proportionally to project progress.
  • If Logical Design cancels the project for reasons attributable to itself, it will refund the Client for any paid work not yet delivered.

Governing law & jurisdiction Peru

These Terms and Conditions are governed by the laws of the Republic of Peru. Any dispute that cannot be resolved amicably shall be submitted to the courts of the city of Lima, with both parties expressly waiving any other jurisdiction that may apply.

Modifications

Logical Design reserves the right to update these Terms and Conditions at any time. Changes will be published on this page with the updated date. Continued use of our services after changes are published constitutes acceptance of the new terms.
